TERMS AND CONDITIONS FOR MEMBERSHIP SUBSCRIPTION

INTRODUCTORY PROVISIONS

  1. These terms and conditions (hereinafter "T&C") govern the relationship between Soňa Metelková, ID No. (IČO): 07144407, with its registered seat at U staré plynárny 47/6, 170 00 Prague (hereinafter referred to as the "Organizer"), as the Organizer of the events known as “Soirée“ and "Over The Edge" (hereinafter referred to as the "Event" or "Events"), and the individual (hereinafter referred to as the "Member") who subscribes to a membership service related to the Events.

  2. The Member enters into a subscription agreement with the Organizer, and their mutual rights and obligations are governed by this T&C. Any legal relationship between the Member and the Organizer that is not explicitly governed by this T&C shall be subject to Act No. 89/2012, the Civil Code (hereinafter referred to as the "Civil Code").

  1. Membership Tiers

    1. The Organizer offers two membership tiers to the Members:

    1. Standard Membership

Price: 5,000 CZK/year for one person

Benefits:

  1. The Member shall receive invitations to attend the Events. The Member is guaranteed to receive invitations to a minimum of six (6) Events per calendar year, with tickets for such Events being payable separately by the Member.

  2. The Member shall receive priority invitations to Events, with access to first-wave ticket pricing.

  3. The Member is entitled to recommend and bring potential new members to the Events, subject to the Organizer's approval.

  4. The Member shall be granted access to private educational sessions conducted by Over The Edge “masters”.

  5. The Member has the option to receive a PDF membership certificate, which may be issued for gifting purposes, upon request.

    B. Exclusive Membership

Price: 20,000 CZK/year for one person

Benefits:

  1. The Member shall receive invitations to attend Soirée and Over The Edge Events.

  2. The Member is entitled to recommend and bring one (1) potential new member to an Event free of charge, subject to the Organizer's approval.

  3. The Member is guaranteed to receive invitations to a minimum of six (6) Events per calendar year, with tickets for such Events being payable separately by the Member.

  4. The Member shall be granted access to private sessions conducted by OTE masters.

  5. The Member is entitled to purchase Event tickets at first-wave pricing, granting early access to Event tickets.

  6. The Member has the option to receive a PDF membership certificate, which may be issued for gifting purposes, upon request.

  7. The Member shall be granted access to the VIP section at each Event.

  8. The Member shall receive a personalized leather mask as part of their exclusive membership benefits.

  9. The Member, upon request, may be granted the opportunity for a personal meeting with the CEOs of Over The Edge to discuss personal interests, including any specific desires.

  1. MEMBERSHIP FEES AND RENEWAL

    1. The membership fee is due annually on the subscription start date. Payment of the annual membership fee constitutes acceptance of these T&C, and failure to remit payment on or before the renewal date may result in termination of membership privileges.

    2. Membership fees are non-refundable. No refunds shall be issued for cancelled memberships or any inability to attend Events for personal or external reasons. By paying the membership fee, the Member acknowledges that they are securing access to the benefits outlined in the relevant membership tier, regardless of their real participation in Events.

    3. The Member may, at any time during their subscription period, upgrade their membership to a higher tier by paying the difference between the current membership tier and the desired tier. The upgraded membership shall become effective immediately upon the Organizer's confirmation of the payment, and the Member shall then be entitled to the benefits associated with the new tier for the remainder of the membership term.

    4. The Organizer may, at its sole discretion, offer special promotions or exclusive experiences to Members, which may include, but are not limited to VIP event upgrades, additional guest invitations, or unique experiences curated by the Organizer. Such offers shall be communicated to Members through designated channels (e.g., email, event platforms), and shall be subject to specific terms outlined in each promotion. The availability, scope, and duration of these offers may vary throughout the year and may be limited to certain membership tiers or timeframes.

    5. The Organizer reserves the right to adjust membership fees for future subscription periods. Any changes in fees will be communicated to the Member in advance of the renewal date, and the Member shall have the option to renew or cancel their membership based on the updated fee structure. Continued use of membership services after such notice constitutes acceptance of the new fee terms.

    6. The Organizer reserves the right to terminate the Member's subscription immediately, without refund, in the event of a material breach of these T&C, including but not limited to misconduct during an Event, failure to comply with Event policies, or any action that damages the reputation of the Organizer.

  2. Final Provisions 

    1. These T&C, as well as all legal relationships arising from the membership agreement between the Member and the Organizer, shall be governed by and interpreted in accordance with the laws of the Czech Republic.

    2. In the case that any of the Events is organized by an entity other than the Organizer, which may include, but is not limited to, entities affiliated with the Organizer, these T&C shall likewise govern such Event and the legal relationship between the Member and the organizing entity, whereas such Event shall be counted towards the guaranteed number of invitations as per Article 2.1 of this T&C. 

    3. Any disputes arising from or in connection with the membership agreement, including disputes relating to the interpretation or performance of these T&C, shall be resolved amicably. In the event that an amicable resolution cannot be reached, the dispute shall be submitted to the competent court in the jurisdiction of the Czech Republic.

    4. The Organizer's liability for any claims arising out of or related to these T&C or the Events is limited to the total amount of the Member's annual membership fee. The Organizer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, regardless of the form of action. The Member agrees to indemnify and hold the Organizer harmless from any claims, liabilities, damages, or expenses (including legal fees) arising from the Member’s participation in the Events or any breach of these T&C.

    5. If any provision of these T&C is found to be invalid, unlawful, or unenforceable, such invalidity, unlawfulness, or unenforceability shall not affect the remaining provisions of these T&C, which shall remain in full force and effect. The invalid provision shall be replaced by a provision that most closely approximates the intent and economic purpose of the invalid provision.

    6. The Organizer reserves the right to amend or supplement these T&C at any time. Any amendments or supplements to the T&C will be communicated to the Member in writing (via email or other appropriate communication methods). Continued use of the membership services following such notice will constitute acceptance of the updated T&C.

    7. The Member may not transfer or assign their rights or obligations under these T&C to any third party without the prior written consent of the Organizer.

    8. The Organizer will process and store personal data in compliance with applicable data protection regulations, including but not limited to the EU's GDPR (General Data Protection Regulation). The Organizer will not share Member data with third parties without explicit consent, except where necessary for the fulfillment of the Event services.

    9. The Organizer shall not be liable for any failure or delay in the performance of its obligations under these T&C due to causes beyond its reasonable control, including, but not limited to, acts of God, war, strikes, epidemics, governmental regulations, or any other similar cause beyond the control of the Organizer.

    10. These T&C become effective on the date of acceptance by the Member upon subscription to the membership service.
